本服務條款(「本條款」)為 你(「用戶」或「你」)與 Open The Door Company(「本公司」、「我們」)之間具法律約束力的協議,規範你使用 elematch 網站、應用程式及相關服務(統稱「本服務」)。These Terms of Service ("Terms") are a binding agreement between you ("user" or "you") and Open The Door Company ("the Company", "we"), governing your use of the elematch website, application and related services (the "Service").
註冊帳戶、點選「同意」或使用本服務,即表示你已閱讀、明白並同意受本條款約束。如你不同意,請勿使用本服務。By registering an account, clicking "agree" or using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. 服務性質(請務必細閱)Nature of the Service (please read carefully)
1.1 elematch 是一項自我覺察與團隊發展參考工具。本服務借用五行、八字等中國傳統文化框架,生成用於個人反思、團隊溝通及教練式對話的參考內容。1.1 elematch is a self-awareness and team-development reference tool. It borrows traditional Chinese frameworks (the five elements and BaZi) to generate reference content for personal reflection, team communication and coaching-style dialogue.
1.2 你明確確認並同意:1.2 You expressly acknowledge and agree that:
- 本服務的輸出內容(「報告」)並非科學測評、心理測驗、心理評估或任何經實證驗證的評核工具;Outputs of the Service ("Reports") are not scientific assessments, psychological tests or evaluations, or any empirically validated instrument;
- 報告並非亦不構成任何形式的專業意見,包括但不限於醫療、心理健康、法律、財務、投資、稅務或僱傭方面的意見;Reports are not, and do not constitute, professional advice of any kind, including medical, mental-health, legal, financial, investment, tax or employment advice;
- 報告不提供任何對未來事件、運勢、吉凶或結果的預測、判斷或保證;其中涉及「時機」或「階段」的內容僅屬文化框架下的參考語言,供個人自我規劃反思之用;Reports provide no prediction, judgement or guarantee of future events, fortune or outcomes; any "timing" or "phase" content is reference language within a cultural framework, for personal reflection only;
- 本公司對報告內容的準確性、完整性、可靠性或適用性不作任何明示或默示的陳述或保證;The Company makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability or suitability of any Report;
- 你就任何事項作出的一切決定(包括個人、事業、財務或人事決定)均屬你自己的決定,你應自行判斷並在需要時諮詢合資格的專業人士。All decisions you make (personal, career, financial or people decisions) are your own; exercise your own judgement and consult qualified professionals where needed.
1.3 自動化生成。報告由自動化系統(包括人工智能模型)根據你輸入的資料生成,屬參考內容;本公司會不時改進生成方法,不保證不同時間的輸出完全一致或準確。1.3 Automated generation. Reports are generated by automated systems, including artificial-intelligence models, from the data you provide. We improve our methods from time to time and do not guarantee that outputs will be identical or accurate across time.
2. 允許用途與禁止用途 Permitted & Prohibited Uses
2.1 允許用途。本服務僅供以下用途:(a) 個人自我覺察及反思;(b) 在所有相關成員自願參與並同意的前提下,作為團隊溝通、團隊建立活動或引導式工作坊的討論材料。2.1 Permitted uses. The Service may be used only for: (a) personal self-awareness and reflection; and (b) as discussion material for team communication, team-building or facilitated workshops, provided every member participates voluntarily and consents.
2.2 禁止用途。你承諾不會將本服務或任何報告用於:2.2 Prohibited uses. You undertake not to use the Service or any Report for:
- 招聘、篩選、排名、面試評核或任何聘用決定;Recruitment, screening, ranking, interview scoring or any hiring decision;
- 解僱、裁員、降職、升遷、調薪、績效評核或任何僱傭相關決定;Dismissal, redundancy, demotion, promotion, pay adjustment, performance appraisal or any employment-related decision;
- 在未經當事人明確同意下,輸入他人的個人資料或對他人進行分析;Entering another person's data or analysing anyone without their explicit consent;
- 對任何人作出基於性別、年齡、家庭崗位、種族、宗教或其他受法律保護特徵的歧視,或以任何方式違反適用的反歧視法律(包括但不限於香港各項歧視條例、新加坡工作場所公平相關法規及馬來西亞相關僱傭法律);Discriminating against anyone on grounds of sex, age, family status, race, religion or other protected characteristics, or otherwise breaching applicable anti-discrimination law in Hong Kong, Singapore or Malaysia;
- 向兒童或未成年人提供服務或輸入其資料(本服務僅限年滿 18 歲人士使用);Providing the Service to, or entering data of, minors — the Service is for persons aged 18 or above only;
- 轉售、複製、改編、反向工程本服務或其方法論,或在未經本公司書面授權下將報告用於商業再分發;Reselling, copying, adapting or reverse-engineering the Service or its methodology, or commercially redistributing Reports without our written licence;
- 任何違法、欺詐或侵害他人權利的用途。Any unlawful, fraudulent or rights-infringing purpose.
2.3 團隊功能的同意責任。你在使用團隊合盤功能時輸入任何其他人士的資料(包括出生日期及性別),即表示你向本公司聲明及保證你已事先取得該人士的明確同意,並已向其說明資料用途。你須就違反本聲明所引致的一切申索,向本公司作出彌償(見第 9 條)。為減低個人資料風險,我們建議以代號或姓名縮寫代替真實姓名輸入成員資料。2.3 Consent responsibility for team features. By entering any other person's data (including birth date and gender) in the team feature, you represent and warrant that you have obtained that person's explicit prior consent and explained the purpose. You must indemnify the Company for any claim arising from breach of this warranty (see Section 9). To reduce data risk, we recommend using codenames or initials instead of real names.
2.4 如你違反本第 2 條,本公司有權立即暫停或終止你的帳戶,而毋須退還任何已支付的費用,並保留追究的權利。2.4 If you breach this Section 2, the Company may immediately suspend or terminate your account without refund, and reserves all rights.
3. 帳戶 Accounts
3.1 你須年滿 18 歲方可註冊及使用本服務。3.1 You must be at least 18 years old to register and use the Service.
3.2 你須提供準確的登記資料,並妥善保管帳戶登入憑證。經你帳戶進行的一切活動,均視為你本人所為。3.2 You must provide accurate registration details and keep your credentials secure. All activity under your account is deemed yours.
3.3 每個帳戶僅供一名用戶使用,不得共享或轉讓。3.3 Each account is for one user only and may not be shared or transferred.
4. 收費、訂閱與儲值 Fees, Subscriptions & Credits
4.1 價格。本服務收費以港幣(HKD)標示,現行價格及各方案用量(包括每隊人數上限)詳見收費頁。付款經第三方支付服務商 Stripe 處理。4.1 Prices. Fees are stated in HKD; current prices, plan allowances and team-size caps are on the pricing page. Payments are processed by Stripe.
4.2 訂閱與自動續費。月費方案(Starter、Pro)按月計費並自動續訂,直至你取消為止。你可隨時於帳戶頁取消訂閱,取消於當前計費周期結束時生效;已開始的計費周期不設按比例退款。4.2 Subscriptions auto-renew monthly until cancelled. Cancel anytime from your account page, effective at the end of the current billing cycle; no pro-rata refunds for started cycles.
4.3 方案用量。各方案所含的每月用量(個人分析及團隊合盤次數)於每個計費周期重置,未用用量不予結轉。4.3 Monthly allowances reset each billing cycle; unused allowance does not roll over.
4.4 儲值(Credits)。儲值屬預付金額,最低儲值額為 HKD 100,用於支付超出方案用量的按次收費(現行為:個人分析每次 HKD 20;團隊合盤按團隊人數計,每位成員每次 HKD 10)。儲值額:(a) 於帳戶有效期內不會過期;(b) 不可轉讓、不可兌換現金;(c) 除第 4.6 條或適用法律另有規定外,不予退還。4.4 Credits are prepaid amounts (minimum HKD 100) for overage: currently HKD 20 per personal insight; team maps at HKD 10 per member per map. Credits (a) do not expire while your account is active; (b) are non-transferable and non-redeemable for cash; (c) are non-refundable except under clause 4.6 or as required by law.
4.5 價格調整。本公司可調整價格及方案內容,並會提前不少於 30 日以電郵或服務內通知現有訂戶;調整於你的下一個計費周期起生效。你如不接受調整,可於生效前取消訂閱。4.5 We may change prices and plans with at least 30 days' notice; changes take effect from your next billing cycle. If you do not accept them, cancel before they take effect.
4.6 退款。如因本服務的技術故障導致扣除用量或費用而未能交付相應報告,我們會補回相應用量或退還相應款項。除此以外,已支付的費用概不退還,惟不影響你依據適用消費者保障法律(包括香港、新加坡及馬來西亞相關法例)可享有且不可被排除的法定權利。4.6 Refunds. If a technical failure deducts usage or fees without delivering the Report, we will restore the usage or refund the amount. Otherwise fees are non-refundable, without prejudice to your non-excludable statutory rights under applicable consumer law in Hong Kong, Singapore and Malaysia.
4.7 單次套裝。本公司可提供一次性付費套裝(例如「團隊工作坊套裝」)。套裝所含用量按其說明使用,一經使用即告消耗;套裝不可轉讓、不可兌換現金,除第 4.6 條所述情況或適用法律另有規定外,不予退還。4.7 One-time packs. We may offer one-time packs (e.g. the Team Workshop Pack). Pack allowances are consumed on use, are non-transferable and non-redeemable for cash, and are non-refundable except under clause 4.6 or as required by law.
4.8 稅項。價格如需繳納任何適用的銷售稅、服務稅或同類稅項(例如新加坡 GST、馬來西亞 SST),將按適用法律處理並於結帳時顯示(如適用)。4.8 Taxes. Any applicable sales or service taxes (e.g. Singapore GST, Malaysia SST) are handled per applicable law and shown at checkout where applicable.
5. 知識產權 Intellectual Property
5.1 本服務(包括其軟件、方法論、原型框架、圖表設計、品牌及內容)的一切知識產權均屬本公司或其許可人所有。5.1 All intellectual property in the Service (software, methodology, archetype framework, chart designs, brand and content) belongs to the Company or its licensors.
5.2 在你遵守本條款的前提下,本公司授予你一項有限、非獨家、不可轉讓、可撤銷的許可,供你於內部及非商業用途使用本服務及你的報告。5.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and your Reports for internal, non-commercial purposes.
5.3 你就自行輸入的資料保留一切權利;你授予本公司為提供本服務所需的有限處理許可(詳見私隱政策)。5.3 You retain all rights in the data you enter; you grant us a limited licence to process it as needed to provide the Service (see the Privacy Policy).
6. 個人資料 Personal Data
6.1 收集目的。我們僅為提供本服務而收集:電郵地址(帳戶管理及服務通知)、出生日期及性別(生成報告;性別僅用於人生階段計算)、以及交易紀錄(帳務)。姓名為選填,並建議以代號或縮寫代替。我們不收集出生時辰、身份證明文件或其他敏感資料。6.1 Purposes. We collect only what the Service needs: email (account and notices), birth date and gender (report generation; gender is used solely for life-stage calculation), and transaction records (billing). Names are optional — we recommend codenames or initials. We do not collect birth time, ID documents or other sensitive data.
6.2 保存期。已儲存的分析及團隊資料於建立後 90 日自動刪除;帳戶基本資料保存至你刪除帳戶為止;交易紀錄按適用稅務及會計法律所需年期保存。6.2 Retention. Stored analyses and team data are auto-deleted 90 days after creation; basic account data is kept until you delete your account; transaction records are kept as required by tax and accounting law.
6.3 更正與刪除。你可隨時:(a) 在帳戶內更正輸入資料(包括出生日期)並重新生成分析;(b) 刪除個別分析、團隊或整個帳戶;及 (c) 電郵 contact@elematch.asia 行使查閱、更正、刪除及其他適用法律賦予的權利,我們一般於 30 日內回覆。6.3 Correction and deletion. You may at any time: (a) correct your inputs (including birth date) in your account and regenerate the analysis; (b) delete individual analyses, teams or your entire account; and (c) email contact@elematch.asia to exercise access, correction, deletion and other rights under applicable law — we normally respond within 30 days.
6.4 詳情見私隱政策,該政策構成本條款的一部分。團隊報告不會展示任何個人的時機參考、升遷或去留建議——時機內容載於當事人的個人報告。6.4 See the Privacy Policy, which forms part of these Terms. Team reports never show any individual's timing, promotion or retention suggestions — timing content appears only in that person's own report.
7. 免責聲明 Disclaimers
7.1 本服務按「現狀」及「現有」基礎提供。在適用法律允許的最大範圍內,本公司就本服務及報告不作任何明示或默示的保證,包括對適銷性、特定用途適用性、準確性及不侵權的默示保證。7.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
7.2 本公司不保證本服務不受中斷、無錯誤或完全安全。7.2 We do not warrant that the Service will be uninterrupted, error-free or fully secure.
7.3 健康提示。本服務不適用於處理任何精神健康、情緒困擾或危機狀況。如你或你的團隊成員需要相關支援,請諮詢合資格的醫療或心理專業人士。7.3 Wellbeing note. The Service is not designed for mental-health, emotional-distress or crisis situations. If you or a team member needs support, consult a qualified medical or mental-health professional.
7.4 本第 7 條及第 8 條的免責聲明與責任限制,僅在適用法律允許的最大範圍內適用,並不影響你依法享有且不可被排除或限制的權利。7.4 The disclaimers and limitations in Sections 7 and 8 apply only to the maximum extent permitted by applicable law, and do not affect rights that cannot lawfully be excluded or limited.
8. 責任限制 Limitation of Liability
8.1 在適用法律允許的最大範圍內,本公司就本條款或本服務所生的一切申索的總累計責任,以你於引致申索事件之前 12 個月內就本服務實際支付予本公司的費用總額為上限。8.1 To the maximum extent permitted by law, our total aggregate liability for all claims arising from these Terms or the Service is capped at the fees you actually paid us in the 12 months before the event giving rise to the claim.
8.2 在適用法律允許的最大範圍內,本公司概不就任何間接、附帶、特別、懲罰性或後果性損失(包括利潤損失、業務損失、商譽損失或資料損失)承擔責任,不論該等損失是否可以預見。8.2 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive or consequential losses (including loss of profits, business, goodwill or data), whether or not foreseeable.
8.3 本條款並不排除或限制:(a) 因本公司疏忽引致人身傷亡的責任;(b) 欺詐或欺詐性失實陳述;及 (c) 任何依適用法律(包括香港、新加坡及馬來西亞的強制性消費者保障及個人資料保護法律)不可排除或限制的其他責任——包括因疏忽、違法行為或強制性法律規定而產生且依法不可免除的責任。如你以消費者身分使用本服務,你的法定權利不受本條款影響。8.3 Nothing in these Terms excludes or limits: (a) liability for death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; and (c) any other liability that cannot be excluded or limited under applicable law (including mandatory consumer-protection and data-protection laws of Hong Kong, Singapore and Malaysia) — including liability arising from negligence, unlawful conduct or mandatory legal provisions that cannot lawfully be excluded. If you use the Service as a consumer, your statutory rights are unaffected.
8.4 在適用法律允許的範圍內,本公司概不就你或任何第三方在使用本服務後作出的任何商業或人事決定(包括但不限於招聘、升遷、解僱及其他僱傭決定)承擔責任,亦不就任何僱傭糾紛承擔責任。此等用途本身已為第 2.2 條所禁止。8.4 To the extent permitted by law, we are not liable for any commercial or people decisions made by you or any third party in connection with the Service (including hiring, promotion, dismissal or other employment decisions), nor for any employment dispute. Such uses are in any event prohibited under clause 2.2.
9. 彌償 Indemnity
如因 (a) 你違反第 2 條(禁止用途)或第 2.3 條(同意責任);或 (b) 你以違法或侵權方式使用本服務,而導致任何第三方(包括你的僱員、團隊成員或求職者)向本公司提出申索,你同意就本公司因此蒙受的一切損失、損害、費用(包括合理法律費用)作出全額彌償。If a third party (including your employees, team members or job applicants) brings a claim against the Company arising from (a) your breach of Section 2 or clause 2.3, or (b) your unlawful or infringing use of the Service, you agree to fully indemnify the Company for all resulting losses, damages and costs (including reasonable legal fees).
10. 暫停與終止 Suspension & Termination
10.1 你可隨時刪除帳戶以終止本協議;刪除帳戶後,你的資料將按私隱政策所述處理。10.1 You may terminate at any time by deleting your account; your data will then be handled as described in the Privacy Policy.
10.2 如你違反本條款(尤其第 2 條),或本公司合理懷疑存在濫用、欺詐或違法行為,本公司可暫停或終止你的帳戶。因你違約而終止者,已支付費用概不退還。10.2 We may suspend or terminate your account if you breach these Terms (especially Section 2) or on reasonable suspicion of abuse, fraud or unlawful conduct. No refunds on termination for breach.
10.3 本條款中按性質應於終止後繼續有效的條文(包括第 1、2、5、7、8、9、12 條)於終止後仍然有效。10.3 Provisions that by nature should survive termination (including Sections 1, 2, 5, 7, 8, 9 and 12) survive.
11. 條款修訂 Changes to these Terms
本公司可不時修訂本條款。重大修訂會提前以電郵或服務內通知,並更新本頁「最後更新」日期;修訂後你繼續使用本服務,即視為接受修訂。如不接受,你可於修訂生效前終止使用並取消訂閱。We may amend these Terms from time to time. Material changes will be notified in advance by email or in-service, and the "last updated" date revised. Continued use after changes constitutes acceptance; if you do not accept, stop using the Service and cancel before they take effect.
12. 適用法律與爭議解決 Governing Law & Disputes
12.1 本條款受香港特別行政區法律管限,並按其解釋。12.1 These Terms are governed by and construed under the laws of the Hong Kong SAR.
12.2 因本條款或本服務所生的任何爭議,雙方應先以誠意透過友好協商解決;如協商不成,雙方同意受香港法院的非專屬司法管轄權管轄。12.2 Disputes shall first be resolved by good-faith negotiation; failing that, the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.
12.3 如你是於新加坡或馬來西亞的消費者,本條並不剝奪你依據當地強制性消費者保障法律可享有的權利或向當地法院提出申索的權利(如適用)。12.3 If you are a consumer in Singapore or Malaysia, this Section does not deprive you of rights under local mandatory consumer law or of any right to bring claims in local courts (where applicable).
13. 其他 General
13.1 完整協議。本條款連同私隱政策及使用守則,構成雙方就本服務的完整協議。13.1 Entire agreement. These Terms, the Privacy Policy and the Usage Guidelines constitute the entire agreement regarding the Service.
13.2 可分割性。如本條款任何條文被裁定無效或不可執行,其餘條文仍然有效。13.2 Severability. If any provision is held invalid or unenforceable, the remainder stays in effect.
13.3 不放棄。本公司未行使任何權利不構成放棄該權利。13.3 No waiver. Our failure to exercise a right is not a waiver of it.
13.4 語言。本條款以中文及英文編寫;英文內容僅供參考,如有歧義,以中文版本為準。13.4 Language. These Terms are written in Chinese with an English rendering for reference; in case of inconsistency, the Chinese version prevails.
