本服务条款(“本条款”)为 你(“用户”或“你”)与 Open The Door Company(“本公司”、“我们”)之间具法律约束力的协议,规范你使用 elematch 网站、应用程式及相关服务(统称“本服务”)。These Terms of Service ("Terms") are a binding agreement between you ("user" or "you") and Open The Door Company ("the Company", "we"), governing your use of the elematch website, application and related services (the "Service").
注册帐户、点选“同意”或使用本服务,即表示你已阅读、明白并同意受本条款约束。如你不同意,请勿使用本服务。By registering an account, clicking "agree" or using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. 服务性质(请务必细阅)Nature of the Service (please read carefully)
1.1 elematch 是一项自我觉察与团队发展参考工具。本服务借用五行、八字等中国传统文化框架,生成用于个人反思、团队沟通及教练式对话的参考内容。1.1 elematch is a self-awareness and team-development reference tool. It borrows traditional Chinese frameworks (the five elements and BaZi) to generate reference content for personal reflection, team communication and coaching-style dialogue.
1.2 你明确确认并同意:1.2 You expressly acknowledge and agree that:
- 本服务的输出内容(“报告”)并非科学测评、心理测验、心理评估或任何经实证验证的评核工具;Outputs of the Service ("Reports") are not scientific assessments, psychological tests or evaluations, or any empirically validated instrument;
- 报告并非亦不构成任何形式的专业意见,包括但不限于医疗、心理健康、法律、财务、投资、税务或雇佣方面的意见;Reports are not, and do not constitute, professional advice of any kind, including medical, mental-health, legal, financial, investment, tax or employment advice;
- 报告不提供任何对未来事件、运势、吉凶或结果的预测、判断或保证;其中涉及“时机”或“阶段”的内容仅属文化框架下的参考语言,供个人自我规划反思之用;Reports provide no prediction, judgement or guarantee of future events, fortune or outcomes; any "timing" or "phase" content is reference language within a cultural framework, for personal reflection only;
- 本公司对报告内容的准确性、完整性、可靠性或适用性不作任何明示或默示的陈述或保证;The Company makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability or suitability of any Report;
- 你就任何事项作出的一切决定(包括个人、事业、财务或人事决定)均属你自己的决定,你应自行判断并在需要时咨询合资格的专业人士。All decisions you make (personal, career, financial or people decisions) are your own; exercise your own judgement and consult qualified professionals where needed.
1.3 自动化生成。报告由自动化系统(包括人工智能模型)根据你输入的资料生成,属参考内容;本公司会不时改进生成方法,不保证不同时间的输出完全一致或准确。1.3 Automated generation. Reports are generated by automated systems, including artificial-intelligence models, from the data you provide. We improve our methods from time to time and do not guarantee that outputs will be identical or accurate across time.
2. 允许用途与禁止用途 Permitted & Prohibited Uses
2.1 允许用途。本服务仅供以下用途:(a) 个人自我觉察及反思;(b) 在所有相关成员自愿参与并同意的前提下,作为团队沟通、团队建立活动或引导式工作坊的讨论材料。2.1 Permitted uses. The Service may be used only for: (a) personal self-awareness and reflection; and (b) as discussion material for team communication, team-building or facilitated workshops, provided every member participates voluntarily and consents.
2.2 禁止用途。你承诺不会将本服务或任何报告用于:2.2 Prohibited uses. You undertake not to use the Service or any Report for:
- 招聘、筛选、排名、面试评核或任何聘用决定;Recruitment, screening, ranking, interview scoring or any hiring decision;
- 解雇、裁员、降职、升迁、调薪、绩效评核或任何雇佣相关决定;Dismissal, redundancy, demotion, promotion, pay adjustment, performance appraisal or any employment-related decision;
- 在未经当事人明确同意下,输入他人的个人资料或对他人进行分析;Entering another person's data or analysing anyone without their explicit consent;
- 对任何人作出基于性别、年龄、家庭岗位、种族、宗教或其他受法律保护特征的歧视,或以任何方式违反适用的反歧视法律(包括但不限于香港各项歧视条例、新加坡工作场所公平相关法规及马来西亚相关雇佣法律);Discriminating against anyone on grounds of sex, age, family status, race, religion or other protected characteristics, or otherwise breaching applicable anti-discrimination law in Hong Kong, Singapore or Malaysia;
- 向儿童或未成年人提供服务或输入其资料(本服务仅限年满 18 岁人士使用);Providing the Service to, or entering data of, minors — the Service is for persons aged 18 or above only;
- 转售、复制、改编、反向工程本服务或其方法论,或在未经本公司书面授权下将报告用于商业再分发;Reselling, copying, adapting or reverse-engineering the Service or its methodology, or commercially redistributing Reports without our written licence;
- 任何违法、欺诈或侵害他人权利的用途。Any unlawful, fraudulent or rights-infringing purpose.
2.3 团队功能的同意责任。你在使用团队合盘功能时输入任何其他人士的资料(包括出生日期及性别),即表示你向本公司声明及保证你已事先取得该人士的明确同意,并已向其说明资料用途。你须就违反本声明所引致的一切申索,向本公司作出弥偿(见第 9 条)。为减低个人资料风险,我们建议以代号或姓名缩写代替真实姓名输入成员资料。2.3 Consent responsibility for team features. By entering any other person's data (including birth date and gender) in the team feature, you represent and warrant that you have obtained that person's explicit prior consent and explained the purpose. You must indemnify the Company for any claim arising from breach of this warranty (see Section 9). To reduce data risk, we recommend using codenames or initials instead of real names.
2.4 如你违反本第 2 条,本公司有权立即暂停或终止你的帐户,而无需退还任何已支付的费用,并保留追究的权利。2.4 If you breach this Section 2, the Company may immediately suspend or terminate your account without refund, and reserves all rights.
3. 帐户 Accounts
3.1 你须年满 18 岁方可注册及使用本服务。3.1 You must be at least 18 years old to register and use the Service.
3.2 你须提供准确的登记资料,并妥善保管帐户登入凭证。经你帐户进行的一切活动,均视为你本人所为。3.2 You must provide accurate registration details and keep your credentials secure. All activity under your account is deemed yours.
3.3 每个帐户仅供一名用户使用,不得共享或转让。3.3 Each account is for one user only and may not be shared or transferred.
4. 收费、订阅与储值 Fees, Subscriptions & Credits
4.1 价格。本服务收费以港币(HKD)标示,现行价格及各方案用量(包括每队人数上限)详见收费页。付款经第三方支付服务商 Stripe 处理。4.1 Prices. Fees are stated in HKD; current prices, plan allowances and team-size caps are on the pricing page. Payments are processed by Stripe.
4.2 订阅与自动续费。月费方案(Starter、Pro)按月计费并自动续订,直至你取消为止。你可随时于帐户页取消订阅,取消于当前计费周期结束时生效;已开始的计费周期不设按比例退款。4.2 Subscriptions auto-renew monthly until cancelled. Cancel anytime from your account page, effective at the end of the current billing cycle; no pro-rata refunds for started cycles.
4.3 方案用量。各方案所含的每月用量(个人分析及团队合盘次数)于每个计费周期重置,未用用量不予结转。4.3 Monthly allowances reset each billing cycle; unused allowance does not roll over.
4.4 储值(Credits)。储值属预付金额,最低储值额为 HKD 100,用于支付超出方案用量的按次收费(现行为:个人分析每次 HKD 20;团队合盘按团队人数计,每位成员每次 HKD 10)。储值额:(a) 于帐户有效期内不会过期;(b) 不可转让、不可兑换现金;(c) 除第 4.6 条或适用法律另有规定外,不予退还。4.4 Credits are prepaid amounts (minimum HKD 100) for overage: currently HKD 20 per personal insight; team maps at HKD 10 per member per map. Credits (a) do not expire while your account is active; (b) are non-transferable and non-redeemable for cash; (c) are non-refundable except under clause 4.6 or as required by law.
4.5 价格调整。本公司可调整价格及方案内容,并会提前不少于 30 日以电邮或服务内通知现有订户;调整于你的下一个计费周期起生效。你如不接受调整,可于生效前取消订阅。4.5 We may change prices and plans with at least 30 days' notice; changes take effect from your next billing cycle. If you do not accept them, cancel before they take effect.
4.6 退款。如因本服务的技术故障导致扣除用量或费用而未能交付相应报告,我们会补回相应用量或退还相应款项。除此以外,已支付的费用概不退还,惟不影响你依据适用消费者保障法律(包括香港、新加坡及马来西亚相关法例)可享有且不可被排除的法定权利。4.6 Refunds. If a technical failure deducts usage or fees without delivering the Report, we will restore the usage or refund the amount. Otherwise fees are non-refundable, without prejudice to your non-excludable statutory rights under applicable consumer law in Hong Kong, Singapore and Malaysia.
4.7 单次套装。本公司可提供一次性付费套装(例如“团队工作坊套装”)。套装所含用量按其说明使用,一经使用即告消耗;套装不可转让、不可兑换现金,除第 4.6 条所述情况或适用法律另有规定外,不予退还。4.7 One-time packs. We may offer one-time packs (e.g. the Team Workshop Pack). Pack allowances are consumed on use, are non-transferable and non-redeemable for cash, and are non-refundable except under clause 4.6 or as required by law.
4.8 税项。价格如需缴纳任何适用的销售税、服务税或同类税项(例如新加坡 GST、马来西亚 SST),将按适用法律处理并于结帐时显示(如适用)。4.8 Taxes. Any applicable sales or service taxes (e.g. Singapore GST, Malaysia SST) are handled per applicable law and shown at checkout where applicable.
5. 知识产权 Intellectual Property
5.1 本服务(包括其软件、方法论、原型框架、图表设计、品牌及内容)的一切知识产权均属本公司或其许可人所有。5.1 All intellectual property in the Service (software, methodology, archetype framework, chart designs, brand and content) belongs to the Company or its licensors.
5.2 在你遵守本条款的前提下,本公司授予你一项有限、非独家、不可转让、可撤销的许可,供你于内部及非商业用途使用本服务及你的报告。5.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and your Reports for internal, non-commercial purposes.
5.3 你就自行输入的资料保留一切权利;你授予本公司为提供本服务所需的有限处理许可(详见私隐政策)。5.3 You retain all rights in the data you enter; you grant us a limited licence to process it as needed to provide the Service (see the Privacy Policy).
6. 个人资料 Personal Data
6.1 收集目的。我们仅为提供本服务而收集:电邮地址(帐户管理及服务通知)、出生日期及性别(生成报告;性别仅用于人生阶段计算)、以及交易纪录(帐务)。姓名为选填,并建议以代号或缩写代替。我们不收集出生时辰、身份证明文件或其他敏感资料。6.1 Purposes. We collect only what the Service needs: email (account and notices), birth date and gender (report generation; gender is used solely for life-stage calculation), and transaction records (billing). Names are optional — we recommend codenames or initials. We do not collect birth time, ID documents or other sensitive data.
6.2 保存期。已储存的分析及团队资料于建立后 90 日自动删除;帐户基本资料保存至你删除帐户为止;交易纪录按适用税务及会计法律所需年期保存。6.2 Retention. Stored analyses and team data are auto-deleted 90 days after creation; basic account data is kept until you delete your account; transaction records are kept as required by tax and accounting law.
6.3 更正与删除。你可随时:(a) 在帐户内更正输入资料(包括出生日期)并重新生成分析;(b) 删除个别分析、团队或整个帐户;及 (c) 电邮 contact@elematch.asia 行使查阅、更正、删除及其他适用法律赋予的权利,我们一般于 30 日内回复。6.3 Correction and deletion. You may at any time: (a) correct your inputs (including birth date) in your account and regenerate the analysis; (b) delete individual analyses, teams or your entire account; and (c) email contact@elematch.asia to exercise access, correction, deletion and other rights under applicable law — we normally respond within 30 days.
6.4 详情见私隐政策,该政策构成本条款的一部分。团队报告不会展示任何个人的时机参考、升迁或去留建议——时机内容载于当事人的个人报告。6.4 See the Privacy Policy, which forms part of these Terms. Team reports never show any individual's timing, promotion or retention suggestions — timing content appears only in that person's own report.
7. 免责声明 Disclaimers
7.1 本服务按“现状”及“现有”基础提供。在适用法律允许的最大范围内,本公司就本服务及报告不作任何明示或默示的保证,包括对适销性、特定用途适用性、准确性及不侵权的默示保证。7.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
7.2 本公司不保证本服务不受中断、无错误或完全安全。7.2 We do not warrant that the Service will be uninterrupted, error-free or fully secure.
7.3 健康提示。本服务不适用于处理任何精神健康、情绪困扰或危机状况。如你或你的团队成员需要相关支援,请咨询合资格的医疗或心理专业人士。7.3 Wellbeing note. The Service is not designed for mental-health, emotional-distress or crisis situations. If you or a team member needs support, consult a qualified medical or mental-health professional.
7.4 本第 7 条及第 8 条的免责声明与责任限制,仅在适用法律允许的最大范围内适用,并不影响你依法享有且不可被排除或限制的权利。7.4 The disclaimers and limitations in Sections 7 and 8 apply only to the maximum extent permitted by applicable law, and do not affect rights that cannot lawfully be excluded or limited.
8. 责任限制 Limitation of Liability
8.1 在适用法律允许的最大范围内,本公司就本条款或本服务所生的一切申索的总累计责任,以你于引致申索事件之前 12 个月内就本服务实际支付予本公司的费用总额为上限。8.1 To the maximum extent permitted by law, our total aggregate liability for all claims arising from these Terms or the Service is capped at the fees you actually paid us in the 12 months before the event giving rise to the claim.
8.2 在适用法律允许的最大范围内,本公司概不就任何间接、附带、特别、惩罚性或后果性损失(包括利润损失、业务损失、商誉损失或资料损失)承担责任,不论该等损失是否可以预见。8.2 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive or consequential losses (including loss of profits, business, goodwill or data), whether or not foreseeable.
8.3 本条款并不排除或限制:(a) 因本公司疏忽引致人身伤亡的责任;(b) 欺诈或欺诈性失实陈述;及 (c) 任何依适用法律(包括香港、新加坡及马来西亚的强制性消费者保障及个人资料保护法律)不可排除或限制的其他责任——包括因疏忽、违法行为或强制性法律规定而产生且依法不可免除的责任。如你以消费者身分使用本服务,你的法定权利不受本条款影响。8.3 Nothing in these Terms excludes or limits: (a) liability for death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; and (c) any other liability that cannot be excluded or limited under applicable law (including mandatory consumer-protection and data-protection laws of Hong Kong, Singapore and Malaysia) — including liability arising from negligence, unlawful conduct or mandatory legal provisions that cannot lawfully be excluded. If you use the Service as a consumer, your statutory rights are unaffected.
8.4 在适用法律允许的范围内,本公司概不就你或任何第三方在使用本服务后作出的任何商业或人事决定(包括但不限于招聘、升迁、解雇及其他雇佣决定)承担责任,亦不就任何雇佣纠纷承担责任。此等用途本身已为第 2.2 条所禁止。8.4 To the extent permitted by law, we are not liable for any commercial or people decisions made by you or any third party in connection with the Service (including hiring, promotion, dismissal or other employment decisions), nor for any employment dispute. Such uses are in any event prohibited under clause 2.2.
9. 弥偿 Indemnity
如因 (a) 你违反第 2 条(禁止用途)或第 2.3 条(同意责任);或 (b) 你以违法或侵权方式使用本服务,而导致任何第三方(包括你的雇员、团队成员或求职者)向本公司提出申索,你同意就本公司因此蒙受的一切损失、损害、费用(包括合理法律费用)作出全额弥偿。If a third party (including your employees, team members or job applicants) brings a claim against the Company arising from (a) your breach of Section 2 or clause 2.3, or (b) your unlawful or infringing use of the Service, you agree to fully indemnify the Company for all resulting losses, damages and costs (including reasonable legal fees).
10. 暂停与终止 Suspension & Termination
10.1 你可随时删除帐户以终止本协议;删除帐户后,你的资料将按私隐政策所述处理。10.1 You may terminate at any time by deleting your account; your data will then be handled as described in the Privacy Policy.
10.2 如你违反本条款(尤其第 2 条),或本公司合理怀疑存在滥用、欺诈或违法行为,本公司可暂停或终止你的帐户。因你违约而终止者,已支付费用概不退还。10.2 We may suspend or terminate your account if you breach these Terms (especially Section 2) or on reasonable suspicion of abuse, fraud or unlawful conduct. No refunds on termination for breach.
10.3 本条款中按性质应于终止后继续有效的条文(包括第 1、2、5、7、8、9、12 条)于终止后仍然有效。10.3 Provisions that by nature should survive termination (including Sections 1, 2, 5, 7, 8, 9 and 12) survive.
11. 条款修订 Changes to these Terms
本公司可不时修订本条款。重大修订会提前以电邮或服务内通知,并更新本页“最后更新”日期;修订后你继续使用本服务,即视为接受修订。如不接受,你可于修订生效前终止使用并取消订阅。We may amend these Terms from time to time. Material changes will be notified in advance by email or in-service, and the "last updated" date revised. Continued use after changes constitutes acceptance; if you do not accept, stop using the Service and cancel before they take effect.
12. 适用法律与争议解决 Governing Law & Disputes
12.1 本条款受香港特别行政区法律管限,并按其解释。12.1 These Terms are governed by and construed under the laws of the Hong Kong SAR.
12.2 因本条款或本服务所生的任何争议,双方应先以诚意透过友好协商解决;如协商不成,双方同意受香港法院的非专属司法管辖权管辖。12.2 Disputes shall first be resolved by good-faith negotiation; failing that, the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.
12.3 如你是于新加坡或马来西亚的消费者,本条并不剥夺你依据当地强制性消费者保障法律可享有的权利或向当地法院提出申索的权利(如适用)。12.3 If you are a consumer in Singapore or Malaysia, this Section does not deprive you of rights under local mandatory consumer law or of any right to bring claims in local courts (where applicable).
13. 其他 General
13.1 完整协议。本条款连同私隐政策及使用守则,构成双方就本服务的完整协议。13.1 Entire agreement. These Terms, the Privacy Policy and the Usage Guidelines constitute the entire agreement regarding the Service.
13.2 可分割性。如本条款任何条文被裁定无效或不可执行,其余条文仍然有效。13.2 Severability. If any provision is held invalid or unenforceable, the remainder stays in effect.
13.3 不放弃。本公司未行使任何权利不构成放弃该权利。13.3 No waiver. Our failure to exercise a right is not a waiver of it.
13.4 语言。本条款以中文及英文编写;英文内容仅供参考,如有歧义,以中文版本为准。13.4 Language. These Terms are written in Chinese with an English rendering for reference; in case of inconsistency, the Chinese version prevails.
